Expandig Terms and Conditions

These Terms and Conditions (“Terms”) govern your access to and use of the Expandig platform, including our website (app.expandig.com), software, and services such as 2-way SMS/email conversations, appointment booking, Google review automation, and integrations with third-party tools like QuickBooks and ADP (collectively, the “Platform”). By registering for, accessing, or using the Platform, you (“User,” “you,” or “your”) agree to be bound by these Terms, our Privacy Policy, and any additional agreements (e.g., Data Processing Agreement, Affiliate Agreement) referenced herein. These Terms form a binding legal contract between you (or the business entity you represent) and Expandig (“we,” “us,” or “our”). If you do not agree, do not use the Platform.

1. Acceptance of Terms

By completing the registration process, creating an account, or using the Platform, you confirm that:

You have read, understood, and agree to these Terms.

You are at least 18 years old and have the authority to enter into this agreement, personally or on behalf of a business entity.

All information provided during registration (e.g., name, email, payment details) is accurate and complete.

You agree to comply with applicable laws, including TCPA for SMS and CAN-SPAM for email communications.

We reserve the right to update these Terms at any time. Changes are effective immediately upon posting on our website or notifying you via email or in-platform notice. Your continued use of the Platform constitutes acceptance of the updated Terms.

2. Platform Services

Expandig provides a SaaS platform to automate business workflows, including but not limited to:

2-way SMS and email conversations for client engagement.

Appointment booking and scheduling automation.

Google review automation to boost online reputation.

Integrations with third-party tools (e.g., QuickBooks for invoicing, ADP for payroll, Zapier for custom workflows).

CRM, funnels, and analytics for lead generation and client management.

We provide the Platform for your business use without any promise of exclusivity. Certain features may rely on third-party services (e.g., Twilio, Stripe), subject to their terms.

3. Subscription and Payment

a. Subscription Plans

Expandig offers tiered plans (e.g., Starter: $57/month, Growth: $77/month, Pro: $97/month) with features like 2-way SMS/email, integrations, and custom Snapshots.

A 14-day free trial may be available, with full access to selected features. No charges apply unless you continue post-trial.

Subscriptions are monthly or annual, auto-renewing unless canceled.

b. Payment Terms

Payments are processed via Stripe. You authorize us to charge your provided payment method for the selected plan and usage-based fees (e.g., SMS at $0.01/message, emails at $0.675/1,000).

All fees are non-refundable except as required by law or during the free trial period.

Late payments may result in suspension of your account. We are not liable for losses due to non-payment.

c. Usage-Based Fees

Features like SMS/email incur additional costs based on usage. Rates are disclosed in the Platform’s Agency Wallet or SaaS Configurator.

You may rebill usage fees to your clients, subject to our approval and compliance with these Terms.

4. User Responsibilities

You agree to:

Use the Platform in compliance with all applicable laws (e.g., TCPA for SMS opt-in/out, GDPR/CCPA for data privacy).

Provide accurate account information and update it as needed.

Maintain the security of your account credentials. Notify us immediately at [email protected] if you suspect unauthorized access.

Not misuse the Platform (e.g., spamming, uploading malicious code, or violating third-party rights).

Ensure client data you input (e.g., customer names, emails) complies with privacy laws and has necessary consents.

5. Intellectual Property

Our Rights: The Platform, including its software, design, and content (e.g., Snapshots, templates), is owned by Expandig or its licensors and protected by copyright, trademark, and other laws. You receive a non-exclusive, non-transferable license to use the Platform for your business during your subscription.

Your Content: You retain ownership of data you upload (e.g., client lists, funnels). You grant us a worldwide, non-exclusive license to use, store, and process this data to provide services.

Feedback: Any feedback you provide about the Platform may be used by us without compensation.

6. Third-Party Integrations

The Platform integrates with tools like QuickBooks, ADP, Twilio, and Zapier. You are responsible for:

Complying with their terms (e.g., QuickBooks, ADP).

Ensuring proper configuration (e.g., API keys, permissions).

Any additional costs (e.g., Zapier subscriptions, Twilio SMS rates).

We are not liable for third-party service interruptions or data issues beyond our control.

7. Prohibited Activities

You may not:

Reverse-engineer, decompile, or copy the Platform’s code.

Use the Platform to send illegal or unauthorized communications (e.g., non-compliant SMS/emails).

Share access with unauthorized users or resell services without our written consent.

Engage in activities that harm the Platform’s functionality or security (e.g., hacking, overloading servers).

Violation may result in account suspension or termination without refund.

8. Termination

By You: Cancel your subscription anytime via the Platform or by emailing [email protected]. No further charges apply post-cancellation, but no refunds are issued for partial periods.

By Us: We may suspend or terminate your account for non-payment, violation of Terms, or illegal activity, with or without notice.

Effect of Termination: Upon termination, your access ends, and we may delete your data within 30 days (except legally required records). You remain liable for any unpaid fees.

9. Limitation of Liability

To the fullest extent permitted by law:

Expandig provides the Platform “as is” without warranties of any kind (e.g., fitness for a particular purpose, uninterrupted service).

We are not liable for indirect, incidental, or consequential damages (e.g., lost profits, data loss) arising from your use of the Platform.

Our total liability is limited to the amount you paid us in the 12 months prior to a claim.

10. Indemnification

You agree to defend, indemnify, and hold harmless Expandig, its officers, directors, affiliates, and agents from any claims, damages, or costs (including legal fees) arising from:

Your violation of these Terms or applicable laws.

Your misuse of the Platform (e.g., sending non-compliant SMS).

Disputes involving client data you upload or process.

11. Dispute Resolution

Governing Law: These Terms are governed by the laws of [Insert Your State, e.g., Delaware], USA, without regard to conflict of law principles.
